Terms of Service

01Acceptance of Terms

By creating an account, accessing, or using QuickPly, you agree to be bound by these Terms and our Privacy Policy. If you are using QuickPly on behalf of a business, you represent that you have the authority to bind that business to these Terms.

If you do not agree to these Terms, do not use our services.

02Description of Service

QuickPly is a software-as-a-service (SaaS) platform that provides AI-powered SMS dispatching for small and medium-sized businesses. Core features include:

• Automated SMS responses to missed inbound phone calls
• AI-powered conversational dispatching via SMS
• Appointment booking and job scheduling
• Integration with third-party CRM and calendar platforms
• A web-based dashboard for managing conversations and bookings

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to subscribers.

03Accounts and Registration

To use QuickPly you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at support@quickply.co

You may not share your account with others or create accounts for the purpose of circumventing usage limits or restrictions.

04Subscriptions and Billing

Plans and pricing: QuickPly is offered on a subscription basis. Current plans and pricing are listed at quickply.co/#pricing.

Activation fee: A one-time activation fee of $10 is charged upon selecting a phone number during onboarding. This fee is non-refundable.

Billing cycle: Your subscription billing begins when your assigned phone number is activated and live. You will not be charged your subscription fee during the number provisioning period.

Overage charges: Each plan includes a monthly message allowance. Messages in excess of your plan limit are charged at the applicable overage rate. You may enable a hard stop in your settings to prevent overage charges — doing so will pause AI responses once the limit is reached until the next billing cycle.

Automatic renewal: Subscriptions renew automatically at the end of each billing period. You may cancel at any time through your billing portal, effective at the end of the current period.

Refunds: We do not provide refunds for partial billing periods. If you cancel mid-cycle, your access continues through the end of the paid period.

05SMS Usage and Compliance

By using QuickPly, you agree to comply with all applicable laws and regulations governing SMS communications, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and carrier guidelines for A2P (Application-to-Person) messaging.

You are responsible for ensuring:

• That your use of QuickPly complies with all applicable federal, state, and local laws
• That end customers who receive SMS through your QuickPly number have a legitimate basis to receive such messages (e.g., they initiated contact via an inbound call or text)
• That opt-out requests (STOP) are honored and not circumvented
• That your messaging use case is accurately represented in any carrier registration submissions
• That you do not use QuickPly to send unsolicited marketing messages, spam, or messages to purchased contact lists

Prohibited message content includes:

• Unsolicited commercial messages (spam)
• Phishing, fraud, or deceptive content
• Adult content, hate speech, or harassment
• Content that violates any applicable law
• Messages sent to numbers on the National Do Not Call Registry without proper consent

We reserve the right to suspend or terminate accounts that violate SMS compliance requirements without prior notice.

06Acceptable Use Policy

You agree not to use QuickPly to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Transmit harmful, offensive, or objectionable content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or attempt to extract the source code of our platform
• Use our platform to compete directly with QuickPly or build a substantially similar product
• Resell or sublicense access to QuickPly without our written permission
• Overload, disrupt, or impair the performance of our infrastructure

07Data and Privacy

Your use of QuickPly is subject to our Privacy Policy, which is incorporated into these Terms by reference.

Your data: You retain ownership of all data you input into QuickPly, including business information, conversation history, and booking data. You grant us a limited license to process that data solely for the purpose of providing the service.

End user data: You are responsible for ensuring that your collection and use of end user data (including phone numbers and conversation content) complies with applicable privacy laws.

Data portability: You may export your data at any time from your account settings. Upon cancellation, your data is retained for 90 days and then permanently deleted.

08Third-Party Integrations

QuickPly integrates with third-party services including Twilio, Stripe, OpenAI, Jobber, Housecall Pro, ServiceTitan, and Google Calendar. These integrations are subject to the respective third-party terms of service.

We are not responsible for the availability, accuracy, or performance of third-party services. Outages or changes to third-party APIs may affect QuickPly functionality, and we will make reasonable efforts to address such issues promptly.

By connecting a third-party integration, you authorize QuickPly to access and exchange data with that service on your behalf.

09Intellectual Property

QuickPly and all associated software, designs, trademarks, and content are the exclusive property of NXTLVL Systems. Nothing in these Terms grants you any ownership rights in our platform or intellectual property.

You grant us a non-exclusive, royalty-free license to use your business name and logo solely for the purpose of providing the service (e.g., displaying your business name in AI-generated messages sent on your behalf).

10Disclaimers and Limitations of Liability

Service provided "as is": QuickPly is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

AI-generated content: Responses generated by our AI dispatcher are automated and may not always be accurate, complete, or appropriate for every situation. You acknowledge that AI systems can make errors and agree to implement appropriate human oversight for critical communications.

Limitation of liability: To the maximum extent permitted by law, NXTLVL Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of QuickPly, including lost profits, lost data, or business interruption.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the three months preceding the claim.

11Indemnification

You agree to indemnify, defend, and hold harmless NXTLVL Systems and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of QuickPly
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third party's rights
• Any SMS communications sent through your account

12Termination

By you: You may cancel your subscription at any time through your billing portal. Cancellation takes effect at the end of the current billing period.

By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, fail to pay, or if required by law or carrier regulations. We will provide notice where reasonably practicable.

Effect of termination: Upon termination, your access to the platform ceases, your phone number(s) are suspended, and your data is retained for 90 days before deletion. Outstanding charges remain due.

13Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of QuickPly shall first be attempted to be resolved informally by contacting us at legal@quickply.co. If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the American Arbitration Association rules, conducted in Killeen, Texas.

You waive any right to participate in class action lawsuits or class-wide arbitration against NXTLVL Systems.

14Changes to Terms

We may update these Terms at any time. When we do, we will update the "Last updated" date and notify active subscribers via email at least 14 days before material changes take effect.

Continued use of QuickPly after the effective date of any changes constitutes your acceptance of the updated Terms.
